    CONSTITUTION of the
    PUBLIC RELATIONS COUNCIL OF ALABAMA (1972)

    Amended 1975, 1981, 1986, 1988, 1991, 2005, 2010, 2024

    ARTICLE I: Organization

    Amended 1972

    Section 1. The name of the organization shall be PUBLIC RELATIONS COUNCIL OF ALABAMA hereafter referred to as the Council. The Council is an autonomous affiliate of the Southern Public Relations Federation (SPRF). 

    Section 2. All meetings, including the annual business meeting, shall be called by the Board of Directors, hereafter referred to as the Board, with due prior notice to members. 

     

    ARTICLE II: Purpose

    Section 1. The purpose of the Council shall be to unite those engaged in the practice of public relations. 

    Section 2. To promote and seek to maintain high standards of public service and conduct. 

    Section 3. To exchange ideas, experiences and to collect and disseminate information of value to public relations practitioners and the public. 

     

    ARTICLE III: Membership
    Amended 1975, 1991, 2005, 2010, 2024

    Section 1. There shall be multiple categories of membership as defined in the Bylaws.

    Section 2. The Board shall determine procedures for approval of membership applications.

     

    ARTICLE IV: Board of Directors
    Amended 1988

    Section 1. The affairs of the Council shall be managed by a Board of Directors, meeting bimonthly or on call of the president. The Board of Directors shall consist of the elected officers of the Council, the immediate past president, and the president of each chapter. The SPRF officers from Alabama shall be ex-officio members of the Board without vote. 

    Section 2. A simple majority of the members of the Board shall constitute a quorum for the transaction of Council business.

     

    ARTICLE V: Officers
    Amended 1988, 2005, 2010, 2024 

    Section 1. The officers of the Council shall consist of the elected officers of the Council as described in the Bylaws.

    Section 2. Officers shall serve a term of one year. Election shall be by written or electronic ballot. Ballots are to be distributed to all active members in good standing at least thirty (30) days prior to the annual start of the next fiscal year. 

     

    ARTICLE VI: Dues
    Amended 1986 

    Section 1. Dues shall be set annually by the Board of Directors as per Bylaws. 

     

    ARTICLE VII: Amendments

    Section 1. This constitution may be amended by written or electronic ballot upon approval of two-thirds of the voting members. 

     

    ARTICLE VIII: Bylaws 

    Section 1. All matters not embodied within the constitution of the Council may be adopted by the Board as Bylaws and shall govern the operation of the Council.
